Warehousing Service Contract
根据《中华人民共和国合同法》和其他有关法律法规，为明确双方的权利和义务关系，经甲、乙双方协商一致，就乙方向甲方提供配套产品物流服务签订本合同。
Party A and Party B, in accordance with the Contract Law of the
People’s Republic of China as well as other relevant laws and
regulations, and in order to define the rights and obligations of both
parties, enter into the Contract with relation to the Party B’s
provision of logistic services of supporting products on the basis of
the agreement of both parties.

● 甲方的权利与义务Party A's rights and obligations
1．甲方是本合同仓储保管产品的所有者。
1. Party A is the owner of the products stored under the
Contract.
2．甲方欲对仓储与乙方仓库的产品进行提取时，甲方应提前以双方认可的方式通知或指示乙方。
2. When Party A intends to withdraw the products under storage
and of Party B’s warehouse, Party A shall inform or instruct Party B in
advance in a manner acceptable to both parties.
3. 产品仓储保管过程中，如有产品的盈、亏、损情况的发生，双方将视情况判定责任归属，如为乙方责任造成的，甲方有权向乙方追偿。
3. In the process of product warehousing and storage, if there’re
the product profits and losses, the two parties will determine the
attribution of liability as the case may be. If it is caused due to the
responsibility attributable to Party B, Party A shall then have the
right to recover from Party B.
4. 甲方对乙方仓库内的各部品，均须设定一个库存最低控制量，当部品库存接近或低于最低控制量时，乙方必须立即向甲方发出库存预警信息。
4. Party A shall set an inventory minimum control quantity for
all components in Party B's warehouse. Party B shall immediately send
out the storage pre-warning information to Party A when the inventory of
the components gets close to or below the minimum control level.
● 乙方的权利与义务Party B's rights and obligations
1.
乙方仓库必须具备完善的消防及其它必要的安全设施，严格执行有关安全法规条例，仓储环境满足货物存放要求，以防止货物受潮、霉变或受损，保证货物安全。
1. Party B’s warehouse must have perfect fire facilities and
other necessary safety facilities. It strict implements the relevant
safety regulations, and the storage environment shall meet the storage
requirements of goods in order to prevent the goods being affected with
the damp, moldy or being damaged, and thus to ensure cargo security.
2、乙方应根据甲方所提供的单据，使用货单和货物标签对比方法，对收到的每批货物进行验收。验收的内容包括对产品的品种、数量、包装件数、外包装状态（标签有无掉落、包装外观有无受潮，倒塌）等，乙方应做好甲方货物的进出存登记工作，确保帐、物、卡一致，并每月向甲方提供写有甲方零件入库、出库及结存数量的零件在库管理台账。
2. Party B shall, based upon the documents provided by Party A,
make acceptance to the each batch of goods received by comparing the
shipping list with the and cargo label. The acceptance covers the
product variety, quantity, package number, outer packaging status
(whether the label drops, the appearance of the package is affected by
damp, collapse), etc., and Party B should make registration for Party
A’s goods in-/ex-warehouse and storage, to ensure the consistency of
account, object and card. Party B should provide Party A with the parts
in-stock account which indicates the in-/ex-warehouse and carrying
quantity.
3.乙方转包检验时，如发出产品的数量、件数或标记（包括标记与产品不符）等与甲方事先通知的情形不符，乙方应及时通知甲方。在得到甲方书面确认后，乙方应根据检验的实际情况填写收货单或入库单。
3. Party B shall promptly notify Party A of the subcontracting
inspection if the quantity, number or mark of the products delivered
(including the inconsistency between mark and the product) is not in
conformity with the prior notice of Party A. Upon getting the written
confirmation of Party A, Party B should fill in the receipt or warehouse
warrant based on the actual conditions.
4.乙方接到甲方的出库通知或指示后，乙方应根据甲方的指示做好出库标签分配等出库准备工作。
4. Party B shall, upon receipt of Party A's warehouse-out
notification or instruction, make proper warehouse-out preparations such
as warehouse-out label distribution in accordance with Party A's
instructions.
5.乙方负责将产品送达到甲方收货人指定地点的搬卸工作，并积极配合收货人完成对出货单或出货发票与所到实物的核对工作，收货人须将产品的发送情况注明在出货单或出货发票上，乙方应积极配合。
5. Party B is responsible for the delivery of products to the
location designated by Party A's consignee for handling, and actively
cooperates with the consignee to complete the check of the physical
products with the delivery order or invoice. The consignee shall
indicate the product sending on the delivery order or invoice, and Party
B should give active cooperation.
6.
乙方在承担配送过程中发生任何异常现象必须通报到乙方管理层，再由乙方管理层通报给甲方，待甲方处理。（异常现象：漏雨、灰土、倒塌、掉落、标签掉落等）。
6. Any abnormalities in the distribution process must be reported
to the management of Party B, which shall then be reported to Party A by
the management of Party B and to be dealt with by Party A. (Anomalies
such as leakage of rain, dust, collapse, drop, tags falling off, etc.)
